1. Agreement to Terms
These Terms are a legal agreement between you and 3Gen Legacy Holdings LLC, a Texas limited liability company ("3Gen," "we," "us," or "our"). By accessing or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
2. Eligibility
You must be at least 13 years old to use the Services. If you are under the age of majority where you live, you may use the Services only with the consent and involvement of a parent or legal guardian who agrees to these Terms. You represent that you are not barred from using the Services under applicable law.
3. Accounts
Some features require an account. You agree to provide accurate information, keep your credentials secure, and notify us promptly at support@3genlegacyholdings.llc of any unauthorized use. You are responsible for activity under your account. You may delete your account at any time as described on our Delete Account & Data page.
4. Beta Services
Some Services, including StudyTriage, may be offered as beta or pre-release versions (for example, through Apple TestFlight or Google Play testing tracks). Beta Services are provided for evaluation, may contain bugs, may change or be discontinued at any time, and may have data loss. Feedback you provide may be used to improve the Services without obligation to you.
5. Acceptable Use
You agree not to:
- Use the Services in violation of any law or the rights of others;
- Upload content you do not have the right to use, or that is unlawful, harmful, or infringing;
- Enter protected health information or any information that identifies a patient;
- Attempt to access accounts, systems, or data without authorization, or interfere with the Services' security or operation;
- Reverse engineer, decompile, or copy the Services except as permitted by law;
- Use bots, scrapers, or automated means to access the Services without our permission; or
- Use the Services to violate your school's academic integrity policies.
6. Your Content
You retain ownership of content you upload or create in the Services ("Your Content"), such as syllabi, schedules, and notes. You grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, process, and display Your Content solely to operate, provide, and improve the Services for you and as described in our Privacy Policy. This license ends when Your Content is deleted from our systems, except as needed to comply with law or as described in our retention practices. You represent that you have the rights needed to grant this license.
7. AI Features and No Professional Advice
Certain features use artificial intelligence to parse documents and organize information. AI output may be inaccurate or incomplete. You are responsible for verifying important details, including due dates, exam dates, and clinical schedules, against official sources such as your syllabus, school, instructor, or clinical site. The Services are study and planning tools. They do not provide medical, clinical, legal, or academic advice, and are not a substitute for instructions from your school, instructors, or clinical supervisors.
8. Third-Party Services
The Services may integrate with third-party services such as Canvas, app stores, and sign-in providers. Your use of those services is governed by their terms, and we are not responsible for them. We do not guarantee the availability or accuracy of data imported from third-party services.
9. App Store Terms
If you download an app from the Apple App Store, Google Play, or another app store, you also agree to that store's applicable terms. As between you and the app store provider, 3Gen Legacy Holdings LLC, not the store provider, is responsible for the app and its support. The app store provider has no obligation to provide maintenance or support for the app.
10. Fees
Some Services may be offered free of charge, including during beta. If we introduce paid features or subscriptions, pricing, billing, and renewal terms will be presented to you before purchase, and in-app purchases will be processed by the applicable app store under its terms.
11. Intellectual Property
The Services, including software, design, text, graphics, logos, and trademarks (other than Your Content), are owned by 3Gen Legacy Holdings LLC or its licensors and are protected by law. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Services for your personal, non-commercial use.
12. Termination
You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Services. Sections that by their nature should survive termination (including Your Content license limits, disclaimers, limitation of liability, indemnification, and governing law) will survive.
13. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY INFORMATION, INCLUDING AI-GENERATED OR IMPORTED INFORMATION, WILL BE ACCURATE OR COMPLETE.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, 3GEN LEGACY HOLDINGS LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, GRADES, OR ACADEMIC OUTCOMES, ARISING OUT OF OR RELATED TO THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.
15. Indemnification
You agree to indemnify and hold harmless 3Gen Legacy Holdings LLC and its members, managers, employees, and agents from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your misuse of the Services, Your Content, or your violation of these Terms or the rights of others.
16. Governing Law and Venue
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in the State of Texas, and you consent to the personal jurisdiction of those courts. Before filing a claim, you agree to first contact us at support@3genlegacyholdings.llc and try in good faith to resolve the dispute informally for at least 30 days.
17. Changes to These Terms
We may update these Terms from time to time. We will revise the "Last updated" date and, for material changes, provide notice through the Services or by email. Continued use of the Services after changes take effect means you accept the updated Terms.
18. General
These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Services. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
